VA Standards & Listing Policy

1. Introduction

Shipfinex maintains rigorous standards for all Virtual Assets listed on its platform, aligned with Virtual Assets Regulatory Authority (VARA) requirements and international best practices. This policy establishes the framework for assessing, listing, and monitoring all Virtual Assets (VAs) to ensure regulatory compliance, investor protection, and platform integrity.

All Maritime Asset Tokens (MATs) and other Virtual Assets undergo thorough due diligence, technical evaluation, and compliance verification before listing. Ongoing monitoring ensures that all listed assets remain compliant with VARA standards and Shipfinex's operational requirements.


2. Listing Criteria

All Virtual Assets listed on Shipfinex must meet the following criteria:

  • Regulatory Compliance: Compliance with VARA regulations, AML/CFT standards, and international sanctions requirements

  • Technical Standards: DLT security, smart contract audits, and immutability verification

  • Issuer Due Diligence: Background verification, reputation assessment, and fraud history screening

  • Market Characteristics: Assessment of liquidity potential and community interest


3. Maritime Asset Token (MAT) Specific Criteria

In addition to the general listing criteria, Maritime Asset Tokens must meet specific requirements related to vessel documentation, technical condition, financial viability, and insurance:

  • Vessel Documentation: Proof of ownership, ship registration certificates, and classification society certificates

  • Technical Inspection: Vessel condition assessment, maintenance history review, and regulatory compliance verification

  • Financial Evaluation: Market valuation, revenue potential analysis, and charter contract verification

  • Insurance Verification: P&I coverage, hull & machinery insurance, and compliance with VARA insurance requirements

  • Flag State Compliance: Verification of maritime regulatory status with the flag state authority


4. Per-VA Disclosures

For each listed Virtual Asset, Shipfinex publishes comprehensive information to enable informed investment decisions:

  • Token Identification: Token name, symbol, and unique identifier

  • Issuance Details: Date of issuance, total supply, and circulating supply

  • Market Data: Current market capitalisation, price history, and trading volume

  • Underlying Asset Details: Vessel name, type, flag state, year of build, and current operational status

  • Performance Reporting: Quarterly performance reports and earnings distribution schedule

  • Risk Disclosures: Key risks and material changes affecting the asset


5. Ongoing Monitoring

Following listing, all Virtual Assets are subject to continuous monitoring to ensure ongoing compliance and operational integrity:

  • Compliance Review: Continuous verification of regulatory compliance and VARA requirements

  • Transaction Monitoring: Surveillance of trading activity and investor transactions

  • Periodic Reviews: Quarterly and annual assessments of asset performance and issuer compliance

  • Record Maintenance: Complete audit trail of all listing decisions, reviews, and compliance actions


6. Suspension & Delisting

Shipfinex may suspend or delist a Virtual Asset if circumstances indicate a material risk to investors or breach of regulatory requirements. These circumstances include:

  • Legal Disputes: Unresolved legal claims affecting asset ownership or validity

  • Operational Deficiencies: Failure to maintain agreed operational standards or reporting obligations

  • Non-Compliance: Breach of VARA regulations or AML/CFT requirements

  • Liquidity Failure: Persistent inability to maintain minimum trading liquidity requirements

  • Fraud or Misconduct: Evidence of fraud, material misrepresentation, or issuer misconduct

Upon suspension or delisting, Shipfinex notifies all affected investors and reports the action to VARA as required by regulation. Affected investors are provided with information regarding holdings, redemption procedures (if applicable), and contact information for support.


7. Investor Protection

Shipfinex implements comprehensive measures to protect investor interests:

  • Transparency: Regular disclosure of asset performance, financial information, and material changes

  • Reporting: Quarterly performance reports and annual audits of underlying assets

  • Earnings Distribution: Timely and accurate distribution of dividends and earnings according to published schedules

  • Liquidity Management: Commitment to maintaining adequate trading liquidity for all listed assets

  • Risk Management: Continuous monitoring of market and operational risks


8. Policy Review & Updates

This policy is subject to annual review and may be updated to reflect regulatory changes, operational improvements, or stakeholder feedback. Material changes are communicated to affected parties within 30 days of adoption.

  • Annual Review: Comprehensive review of policy effectiveness and alignment with industry standards

  • Regulatory Updates: Amendments within 30 days of VARA requirement changes

  • Stakeholder Feedback: Continuous improvement based on investor and issuer feedback

  • Internal Audit: Regular audits of listing procedures and compliance adherence
